The four most common amendments: registered address change, business scope expansion, legal representative change, and registered capital increase. Each follows a specific process with statutory filing deadlines.

Registered address change: required when you move offices. Process: new lease agreement with landlord property ownership certificate, SAMR on-site inspection in some cities, amendment application filing, updated license, and updates to tax and bank records. Timeline: 10-15 working days. Must file within 30 days of moving — operating at an unregistered address risks business license revocation. Business scope expansion: required when adding a new activity. Prepare a description using official catalogue terminology. If the new activity requires additional licenses, obtain those first or simultaneously. Timeline: 10-20 working days. Tip: when initially registering, include adjacent activities you might pursue within 3 years.

Legal representative change: requires board resolution, resignation letter from outgoing representative, acceptance from incoming representative, and identification documents. Timeline: 10-15 working days. Critical: the outgoing legal representative remains personally liable for obligations incurred during their tenure — obtain a comprehensive release and indemnity agreement. Registered capital increase: requires board resolution, Articles of Association amendment, and injection of additional capital within the prescribed timeline. Timeline: 10-15 working days for SAMR approval plus capital injection time. All amendments require filing within 30 days of the triggering event. Late filing penalty: RMB 10,000-100,000 depending on the amendment type.
